Partner Program Terms
These terms apply to partners who sell their products through our store. Customers buying from us are covered by our Terms of Service.
Who These Terms Apply To
These Partner Program Terms ("Partner Terms") apply to makers, publishers and suppliers ("Partners", "you") whose products VGB Music Store ("we", "us") sells through vgbmusicstore.com. Together with any partner agreement you accept in your partner dashboard, they set out how your products are sold and how you are paid. If the two conflict, the agreement you accepted controls. Our Terms of Service also apply to your use of the Site.
Joining the Program
The Partner Program is by invitation. We create your partner profile and email you an invitation. You must be at least 18 and able to enter into a binding contract. To receive payouts, you must complete Stripe's onboarding for a payout account in the United States and accept the current partner agreement when we ask you to.
Your Products
We list the products assigned to you in your dashboard. Unless we agree otherwise in writing, we decide how they are presented, priced and promoted on our store, and whether they remain available.
You are responsible for the products and information you supply: they must be as described, safe, lawful, and free of claims that they infringe anyone else's rights. You confirm that you have the right to let us sell them and to use the names, images and descriptions you give us for that purpose.
How Your Earnings Are Calculated
A sale of your product is recorded when the customer's payment clears. For each sale you earn your commission rate, shown in your dashboard, on its net revenue:
- Gross revenue: the price of your product times the quantity sold.
- Less discounts: the part of any order discount that applies to your product. A discount on the whole order is shared across its items in proportion to their price.
- Less fees: the payment processing fee for the sale, any platform fee rate agreed with you, and any other deduction shown on the sale.
Shipping charges and sales tax are not part of net revenue. Your rate can depend on your sales in a month, if tiers are set for you, and a rate set for a specific product overrides tiers. Sales of trial items count when the customer pays for the item.
Refunds and Disputes
If a sale is refunded, or a customer wins a payment dispute about it, your earnings on that sale are reversed. If the sale has already been paid out to you, the reversal appears as a deduction on your next statement, and any negative balance is carried forward to later statements. A dispute that is still open changes nothing until it is decided. We pay the dispute fees.
Statements and Payouts
On the 1st of each month we prepare a statement of every sale and adjustment not yet on a statement. We review it, and you get an email when it is approved. On the 10th of the month we transfer your approved balance to your Stripe account if it is at least your minimum payout, shown in your dashboard; smaller balances are carried forward. Stripe then pays it to your bank on your Stripe payout schedule.
We cannot pay you while Stripe still needs information from you or has disabled your payout account. If a payout fails, we email you and return the amount to your balance, and it is paid once the problem is fixed. We are not responsible for delays caused by Stripe or your bank.
Account Status
- Active: you earn on new sales and are paid.
- Suspended: you keep earning on new sales, but payouts are held until we reinstate you. We may suspend payouts while we investigate suspected fraud, a breach of these Partner Terms, or problems with your products.
- Inactive: you earn nothing on new sales, but what you are owed is settled and paid.
Taxes
You are responsible for your own taxes on your earnings. You must give Stripe accurate tax information. Where US tax law requires it, payments to you are reported to the IRS, for example on Form 1099. We collect and pay sales tax on sales to customers.
Your Information
Our Privacy Policy explains what we collect about partners and what Stripe collects to open your payout account. Your dashboard and sale emails show order numbers, but not customers' names or contact details. You can choose whether we email you about each sale.
Changes and Ending the Program
We may change these Partner Terms or your rates by giving you notice by email or in your dashboard. Changes apply to sales made after they take effect. When the partner agreement changes, we ask you to accept the new version before your next payout.
Either you or we may end your participation by written notice. We may end it immediately for fraud or a serious breach. When it ends, we stop selling your products, and we settle and pay what you are owed, less later refunds and lost disputes on your sales.
Our Relationship
You are an independent business, not our employee, agent or partner in the legal sense. Neither of us may make commitments for the other. Unless agreed in writing, the program is not exclusive on either side. The Governing Law, Dispute Resolution, Limitation of Liability and General Provisions sections of our Terms of Service apply to these Partner Terms.
